Terms and conditions

For your reference, these are the terms and conditions you accepted prior to being granted access to the information contained within this Manulife Group Benefits Plan Administration Secure Internet Site.
Your continued use of this site indicates your ongoing acceptance of these terms and conditions.
In order to access and use the Manulife Group Benefits Plan
Administrator site (the "Site"), the plan sponsor
(the "Policyholder") to whom the benefits policy
(the "Policy") is issued, must accept the following terms
and conditions (the "Terms"), and hereby does so through
its designated Plan Administrator
(the "Plan Administrator"). Once accepted, these Terms
become incorporated as part of the Electronic
Administration of Policy Agreement (the "EAPA") signed by
the Policyholder, and therefore binding upon its heirs,
executors, successors, liquidators, administrators and assigns.
The Policyholder shall help ensure that the Plan Administrator
complies with the EAPA and these Terms. As such,
please carefully read the following:


1) Use of the Site

The content of the Site is provided strictly to assist the
Policyholder in administering its benefits policy with Manulife
(the "Policy"), and it shall only access the Site through its
designated Plan Administrator(s) for such purpose.


2) Privacy and Confidentiality

Protecting the confidentiality of personal information is a
priority at Manulife.  The Policyholder shall be liable for
any breach of privacy and confidentiality of a plan member’s
personal information arising from access or use of the Site.
The Policyholder shall be bound by the Personal Information
Protection and Electronic Documents Act, S.C. 2000, c.5 or
any supplanting legislation in this regard.

Without limiting the generality of the forgoing, due to the
nature of their job, the Plan Administrator may obtain
sufficient information to access a Plan Member’s Group
Benefits Plan Member Secure Site. Doing so without the
explicit consent of the Plan Member is a serious breach of
confidentiality and, without limiting Manulife’s right to
take further actions, will result in the
Plan Administrator’s termination of access to the Site.


3) The Plan Administrator's Obligations

a) Change of Site Access
The Plan Administrator agrees to cease any access to or use
of the Site immediately upon discontinuance of his or her
duties as Plan Administrator or termination of employment.

The Policyholder and the Plan Administrator agree to
immediately notify Manulife Group Benefits of any
discontinuance, termination, change of duties or assignment
of a new Plan Administrator that may require a change in
access to the Site.

b) Personal Verification Questions (PVQs) and Answers
 The Plan Administrator agrees to select PVQ questions from a provided list and to supply answers which will allow their Password to be reset online.  The Plan Administrator should select questions and answers will be easy for them to remember but will be difficult for others to guess.


c) Personal Identification Codes
The Plan Administrator's personal identification codes used
to access this Site include:
i)	a user ID code; and
ii)	a password.

The Plan Administrator agrees to comply with all written
Manulife instructions provided with respect to his or her
identification codes, and shall apply the highest level of
care in using the identification codes to keep them
confidential and to avoid theft, misappropriation,
unauthorized access and unauthorized communication.

The Policyholder is responsible for security of the
identification codes and/or passwords used by the
Plan Administrator(s). The use of the Plan Administrator's
identification codes by the Plan Administrator, or by any
person with or without the Plan Administrator's knowledge
or consent, binds the Policyholder unless the Policyholder
has previously notified Manulife that the confidentiality
of such identification codes has been compromised.
The Policyholder and the Plan Administrator shall notify
Manulife immediately by telephone if any or all of the
Plan Administrator’s identification codes are disclosed
to or obtained by anyone else, or that unauthorized access
to or use of the Site may have occurred or if they have any
reason to believe it may occur. The Policyholder shall not
be responsible if Manulife negligently provided such persons
with access to the identification codes without the knowledge
of the Policyholder.


4) Access to Services

Manulife will exercise the standard of care that a
reasonable Site operator, acting in a commercially prudent
manner, would use in managing and maintaining the Site. It
will make all commercially reasonable efforts to prevent
technical malfunctions or to restore service as promptly
as possible, if such restoration lies within its control
but will not be responsible for any loss or damage,
including indirect or consequential damage, that the
Policyholder or any other person may incur as a result of
being delayed or unable to access the Site for any reason.
Manulife reserves the right to withdraw access to the Site
in the event of non-compliance with Policyholder's or
Plan Administrator's obligations, as set out in these
Terms or the EAPA.


5) Verification of Communications

Manulife may verify communications, or the source of the
communications before accepting them, but is not obligated
to do so.


6) Exclusions and Limitations

Manulife Financial is committed to protecting the privacy
and safety of our clients' information.  We have applied,
and will continue to apply, industry standard processes and
procedures to help ensure the integrity of our Internet site
and the systems that support it.  In addition, we regularly
monitor and up-date our systems in an attempt to reduce such
security risks.  However, the Policyholder agrees and
acknowledges that complete privacy, confidentiality and
security is not yet possible over the Internet, and that the
Internet is not a fully secure method for the communication
of information, and that the privacy and confidentiality of
member information cannot be guaranteed. As such,
the Policyholder agrees that Manulife shall not be
responsible for any harm, loss or damage, including special,
direct, indirect or consequential damage, that the
Policyholder, the Plan Administrator or any other person,
may suffer in connection with access to, or use of, the Site.

Manulife believes that the information included on the Site
is accurate when posted on the Site, but does not guarantee
the accuracy, completeness, or authenticity of the Site’s
contents, its functionality or the authenticity of
transmissions to or from the Site.  The information included
on the Site is subject to change and update at any time
without prior notice.


7) Change of Terms

Manulife may change these Terms and the services provided
by this Site from time to time. The Plan Administrator’s
first use of the Site after any such change(s) will confirm
acceptance of such changes and will bind the Policyholder,
its heirs, executors, successors, liquidators,
administrators and assigns.


8) Copyright

The layout and contents of this Site are protected by
copyright. Unauthorized use of the materials may violate
copyright, trademark, and other laws.


9) Trademark

Manulife’s logo or any design used in association with its
name and logo, product names and icons are trade marks or
registered trade marks of Manulife and may not be reproduced
without Manulife's express permission except for the limited
purposes set out herein.


10) Indemnity

In exchange for access to this Site, the Policyholder agrees
to fully indemnify Manulife and hold it harmless from and
against all proceedings, losses, damages, costs (including
all reasonable legal costs), fines, penalties, fees or
expenses, related to or arising from the Policyholder’s or
Plan Administrator’s negligent, fraudulent, criminal or
wrongful access or use of the Site, as well as any acts
or failure to act by the Plan Administrator.

This clause shall survive the termination of the EAPA.


11)  Survival

Clauses 2, 3(b) , 6 , 8 and 9 of these Terms shall survive
the termination of the Policy and the EAPA.


12) Reasonable Terms

Given that Internet transactions remain an emerging
technology, the Policyholder and its Plan Administrator
agree that all of the Terms herein are fair and reasonable,
and that Manulife would not have provided the Policyholder
and its Plan Administrator with access to the Site without
the Policyholder’s and Plan Administrators’ agreement to
the Terms.
